01. General Scope
These Terms of Service ("Terms") govern all manufacturing agreements between FafaPacks ("Supplier") and the purchasing entity ("Client"). By issuing a Purchase Order (PO) or approving a Proforma Invoice (PI), the Client acknowledges and accepts these terms.
FafaPacks operates strictly as an Original Equipment Manufacturer (OEM) and Original Design Manufacturer (ODM). We do not engage in retail sales to end consumers. All transactions are Business-to-Business (B2B).
02. Orders & Specifications
Client must provide production-ready artwork in vector format (AI, PDF, EPS) with fonts outlined and images embedded at ≥300 DPI. Structural die-lines must be confirmed by FafaPacks engineering before artwork application.
Mass production will not commence until a physical Pre-Production Sample (PPS) is signed and approved by the Client. FafaPacks is not liable for errors in mass production if they match the approved PPS.
03. Manufacturing Tolerances
Color Accuracy
Due to substrate absorption, colors may vary. We adhere to a Delta E (ΔE) < 3.0 tolerance compared to the signed proof or Pantone book.
Dimensions
Hand-assembled rigid boxes carry a tolerance of ±1.5mm. Machine-folded cartons carry a tolerance of ±1.0mm.
Quantity (Overs/Unders)
Standard industry practice allows for a shipment quantity variance of ±5%. Client will be billed for the actual quantity shipped.
Material Texture
Natural papers (Kraft, textured stock) may show slight batch-to-batch variations in grain and shade.
04. Payment Terms
Unless otherwise specified in a Master Service Agreement:
- Deposit: 30% T/T required to initiate raw material procurement.
- Balance: 70% T/T required prior to shipment release (FOB/EXW) or upon presentation of Bill of Lading (CIF, for approved credit clients).
- Currency: All payments shall be made in USD or EUR as stipulated in the invoice.
05. Logistics & Risk
Standard Incoterms 2020 apply. Default terms are FOB Shenzhen or EXW Dongguan.
Risk of loss or damage transfers to the Client upon delivery to the carrier (FOB) or upon availability at our facility (EXW). FafaPacks is not liable for delays caused by customs, shipping lines, or Force Majeure events.
06. Intellectual Property
Client IP: All artwork, logos, and branding provided by the Client remain the sole property of the Client.
Supplier IP: Any structural engineering, die-line templates, or construction methodologies developed by FafaPacks remain our intellectual property unless a specific transfer of rights agreement is signed.
